By accessing our website, placing an order, texting our phone number,

interacting with our AI-powered SMS operations assistant, calling our

business phone, attending our events, or using any of our services

(collectively, the "Services"), you agree to be bound by these Terms.

Ard Coffee Co. sells coffee products including but not limited to

whole bean coffee, ground coffee, specialty blends, and related

merchandise. Product availability, pricing, and specifications are

subject to change without notice.

4.2 Wholesale Services

We offer wholesale coffee products to qualified businesses. Wholesale

relationships are governed by separate wholesale agreements in addition

to these Terms.

4.3 Catering and Events

We provide coffee catering and pop-up event services. Catering and

event bookings require a separate written agreement or confirmation.

Deposits may be required and are subject to cancellation policies

outlined at the time of booking.

4.4 Service Availability

We reserve the right to modify, suspend, or discontinue any product

or service at any time, with or without notice.

5. ORDERS AND PAYMENTS

5.1 Order Acceptance

All orders are subject to acceptance by Ard Coffee Co. We reserve the

right to refuse or cancel any order at our discretion.

5.2 Pricing

All prices are listed in US Dollars (USD). We reserve the right to

change prices at any time. Price changes will not affect orders

already confirmed.

5.3 Payment

Payment is due at the time of order unless otherwise agreed in

writing. By providing payment information, you represent that you

are authorized to use the payment method provided.

5.4 Taxes

You are responsible for all applicable taxes. We collect applicable

sales tax where required by law.

5.5 Refunds and Returns

• Defective or incorrect products: Contact us within 7 days of

receipt for a full refund or replacement.

• Change of mind returns: Accepted within 14 days for unopened,

undamaged products in original packaging.

• Perishable goods: Non-refundable once shipped unless defective.

• Event/catering deposits: Refundable up to 14 days before the

event. Non-refundable thereafter.

GPT-4 language model. This system is used exclusively by authorized

business owners for internal operational tasks.

7.2 Authorized Users Only

The AI assistant is restricted to authorized Ard Coffee Co. owners

and operators. Unauthorized access or use is strictly prohibited.

7.3 No Autonomous Action

The AI assistant does not take autonomous action. All AI-generated

outbound communications require explicit owner review and approval

before being sent. No message is transmitted without human

confirmation.

7.4 AI Limitations and Disclaimers

The AI may produce inaccurate, incomplete, or outdated information.

All AI outputs are subject to human review. We expressly disclaim

liability for any errors or decisions made in reliance on

AI-generated content.

7.5 Third-Party AI Provider

AI processing is performed by OpenAI. Use of our AI assistant is

also subject to OpenAI's terms at https://openai.com/terms.

8.1 Phone Calls

be excluded from photography by notifying our staff on-site.

We reserve the right to remove any individual who poses a safety

risk or disrupts the event.

10.3 Cancelled Events

If we cancel an event, we will provide a full refund of any

ticket or deposit paid. We are not responsible for travel,

accommodation, or other incidental costs.

11.2 Limitation of Liability

OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE

LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,

PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR

USE OF OUR SERVICES.

IN NO EVENT SHALL ARD COFFEE CO.'S TOTAL LIABILITY EXCEED THE

GREATER OF: (A) THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING

THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. INDEMNIFICATION

13. GOVERNING LAW AND DISPUTE RESOLUTION

personal jurisdiction of courts in Essex County, New Jersey.

13.2 Informal Resolution

Before filing any formal claim, contact us at

within 30 days.

13.3 Binding Arbitration

Unresolved disputes shall be resolved by binding arbitration

administered by the American Arbitration Association (AAA) under

its Consumer Arbitration Rules, except that either party may

bring individual claims in small claims court where eligible.

13.4 Class Action Waiver

CLAIMS MAY ONLY BE BROUGHT ON AN INDIVIDUAL BASIS. NEITHER PARTY

MAY PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION. If this

waiver is found unenforceable, the arbitration provision is void.

14. TERMINATION

14.1 By You

14.3 Survival

Sections 11, 12, 13, and 15 survive termination.

15. GENERAL PROVISIONS

If any provision is found unenforceable, it will be modified to

the minimum extent necessary, and all remaining provisions remain

in full force.

15.3 Waiver

Our failure to enforce any right does not constitute a waiver.

15.4 Assignment

You may not assign your rights under these Terms. We may assign

our rights without restriction.

15.5 Force Majeure

We are not liable for failures caused by circumstances beyond our

reasonable control, including acts of God, pandemic, government

action, or internet disruptions.

15.6 Changes to These Terms

We may modify these Terms at any time. We will update the "Last

Updated" date and notify you of material changes via SMS or email.

Continued use of our Services constitutes acceptance.
